Title PROTECTION OF MINORITY SHAREHOLDERS' VOTING RIGHTS IN STOCK COMPANIES: COMPARATIVE STUDIES BETWEEN GERMANY AND UKRAINE
Summary The paper presents the main legislative devices provided for protection of minority shareholders’ voting rights in German and Ukrainian legislation. Starting with general overview of different techniques for such protection the thesis focuses on the concrete legislative norms of German Stock Corporations Act and Ukrainian law On business associations which are regulating the control relationships within the company.
In the light of the latest amendments Germany enjoy the highest level of minority shareholders’ protection whereas the provisions of Ukrainian legislative acts related to the issue are often unclear, too vague and does not comply with the requirement of the European
Union. The comparison of German and Ukrainian legislation helped to find defects in
Ukrainian regulation and make certain proposals for its improving.
