Title | The Floating Lien Concept under Article 9 of the U.C.C.: Suggested Improvements for Slovak Secured Transactions Law |
Summary | Abstract This thesis focuses on the comparison of the floating lien concept as a long term financing tool through creation of security interest, description of factors determining the floating lien, under Article 9 UCC together with a purchase money security interest as an alternative financing device effectively used both by credit sellers and lenders. In contrast, the Slovak charge law which deals with the provision on the floating lien is a very inconclusive and questionable solution, leaving basic conceptual elements of the floating lien completely untouched. In addition to it, question of purchase money security financing is not considered at all. The comparison aims to point out the advantages of the floating lien together with purchase money security interest, describing in some more details different aspect of purchase money security financing. Going through these peculiarities of the floating lien and purchase money security interest, we may conclude that the Slovak legislation introducing only a “predecessor of a floating lien coupled with a traditional concept of a limitative title financing bears number of disadvantages, as opposed to the a clear and systematic solution of Article 9, and is therefore unsatisfactory. |
