Summary This paper focuses upon the problem of “corporate raiding” in Russia as a quasi-legal method of an acquisition of corporate control. It is shown that presence of the loopholes in the Russian takeover legislation can partially explain the expansion of the phenomena of corporate raiding, which brings substantial damage to the economic development of the country. The paper examines the present state of Russian market for corporate control, analyzes the legal regulation and provides recommendations for improvement. Recommendations are directed towards the implementation of sound anti-takeover devices, increased level of corporate transparency, establishment of an independent institutional framework, strengthening of personal liability for corporate crime and more detailed and precisely formulated legal provisions.
