Title | COMPARATIVE ANALYSIS OF EU, GERMAN AND GEORGIAN REGULATIONS ON SQUEEZE-OUT |
Summary | The paper focuses on the legal framework of squeeze-out. The purpose of the thesis is to identify the problems of the squeeze-out procedure and give an overview of the offered solutions by EU Directive on Takeover Bids, German and Georgian Legislations. Regulations will be compared in the scope of effectiveness of the fair price determination methods for the shares acquired by a majority shareholder. A descriptive method is used to provide an overview of the regulations, while a comparative method is employed to analyze the provisions. The analysis leads to the conclusion that the provisions regulating the squeeze-out do not always provide the possibility of reasonable price determination. Accomplishment of proper application of the offered regulations is highly depended on each country’s development level. As opposed to those countries where there is no working stock market, in the countries with developed market economy, the rules are better implemented and the protection of minority shareholders is better guaranteed. |
