Title | Regulatory Challenges in Investment-Based Crowdfunding: The Model of the United States and Lessons for Hungary |
Summary | This thesis examines what are the major issues that legal regulation has to address in connection with investment-based crowdfunding. In this type of crowdfunding investors receive some kind of security in return for their investments. The purpose of this thesis is to detect whether and under what conditions could Hungarian legal regulation introduce investment-based crowdfunding rules. The thesis provides a general discussion about the risks and advantages of investment-based crowdfunding in the context of startup finance, and provides a detailed evaluation of the regulatory issues in connection with this alternative financing instrument. As a comparative example of possible solutions, this thesis examines the regulatory model of the United States adopted on investment-based crowdfunding. Based on the general evaluation and on the conclusions of the model of the United Stated this thesis concludes that the current regulatory framework of Hungary is not suitable for a viable investment-based crowdfunding system. In this regard, the thesis provides certain recommendations on further steps to create appropriate pre-conditions for investment-based crowdfunding. |
